WEDNESDAY, 03 JUNE 2015 – Bintang Timor & Utara Sdn. Bhd and its directors, Abdul Razak Bin Nuruddin and Aziah Binti Ibrahim had pleaded guilty today at the Magistrate’s Court of Kuala Terengganu for charges under Section 370(1) read together with Section 165(7) of the Companies Act 1965 for defaulting in the lodgement of the company’s Annual Returns for the years 2009, 2010 and 2011 to the Registrar, after a prior conviction and sentencing of the company and its directors on 21 August 2013.
Prior to this, on 02 and 29 April 2014, the company and its directors had been convicted under Section 370(1) of the Companies Act 1965 once with a total fine of RM14,400.00.
For the latest default penalty, Magistrate Puan Rozianti Md Hanaphi, had imposed sentences as follows:

During mitigation, the directors had appealed to the Court for a minimal sentence as the company is currently in the midst of lodging its Annual Returns.
Encik Adnan Haji Omar, prosecuting officer from SSM, had appeared on behalf of the Public Prosecutor.
SSM views the breaches committed in the above case seriously. Punitive action imposed by Court is to remind company directors and their officers, the need to strictly adhere to the requirements of the Companies Act 1965.

RABU, 03 JUN 2015 – Syarikat dan pengarah-pengarah syarikat Bintang Timor & Utara Sdn. Bhd, Abdul Razak Bin Nuruddin dan Aziah Binti Ibrahim telah mengaku salah di Mahkamah Majistret Kuala Terengganu pada hari ini bagi pertuduhan-pertuduhan di bawah Seksyen 370(1) dibaca bersama Seksyen 165(7) Akta Syarikat 1965 bagi kesalahan berterusan gagal menyerahsimpan Penyata Tahunan syarikat tersebut bagi tahun 2009, 2010 dan 2011 kepada Pendaftar Syarikat, setelah syarikat dan pengarah-pengarahnya dijatuhi hukuman di bawah Seksyen 165(7) Akta Syarikat 1965 pada 21 Ogos 2013.
Untuk rekod, pada 02 dan 29 April 2014, syarikat dan pengarah-pengarah syarikat pernah disabitkan kesalahan penalti ingkar di bawah Seksyen 370(1) Akta Syarikat 1965 buat kali pertama di Mahkamah Majistret Kuala Terengganu dengan denda berjumlah RM14,400.00.
Bagi kesalahan penalti ingkar kali kedua ini, Majistret Puan Rozianti Md Hanaphi telah menjatuhkan hukuman denda seperti berikut:

Dalam mitigasi hukuman, pengarah-pengarah syarikat telah merayu kepada Mahkamah agar dikenakan hukuman denda yang minimum kerana syarikat sedang berusaha untuk menyerahsimpan penyata tahunan tersebut.
Pendakwaan dijalankan oleh Encik Adnan Haji Omar, pegawai pendakwa Suruhanjaya Syarikat Malaysia (‘SSM’).
Kegagalan mematuhi kehendak asas Akta Syarikat 1965 adalah satu perlanggaran undang-undang yang dipandang serius oleh SSM. Tindakan penguatkuasaan yang diambil oleh SSM ini diharap dapat memberi peringatan kepada syarikat dan pegawai-pegawai syarikat agar sentiasa mematuhi Akta Syarikat 1965.
